1. About these terms
The Lumier is a software service operated by ORLECA LTD, a company registered in England and Wales with company number 16281127 (“ORLECA”, “we”, “us” or “our”).
These terms apply to your use of this website and of The Lumier service (together, the “Service”). In these terms, “Client” means the business that is given access to The Lumier, and “you” means the Client and, where relevant, any individual using the Service on its behalf.
If ORLECA LTD and a Client have signed a separate written agreement for The Lumier, that agreement takes priority over these terms to the extent they conflict.
By accessing or using the Service, you agree to these terms. If you do not agree, please do not use the Service.
2. Private beta
The Lumier is currently offered as a private beta. Access is by invitation or agreement with ORLECA LTD only. During the beta:
- features may be added, changed, limited or removed;
- the Service may contain errors, and may occasionally be interrupted or unavailable;
- we may ask for feedback to help improve the Service;
- we may end the beta or change how access is offered, with reasonable notice where practicable.
Clients should keep their own records of information that is important to their business and should not rely on the Service as the only copy of that information.
3. Business use only
The Service is intended for use by dental clinics, dental-treatment businesses and other businesses we approve, acting in the course of their business. It is not offered to consumers.
If you accept these terms on behalf of a business, you confirm that you have authority to bind that business.
4. Accounts and users
- The Client may allow its employees and contractors to use the Service as authorised users.
- The Client is responsible for the activity of its authorised users and for ensuring they comply with these terms.
- Users must keep login details confidential and must not share accounts.
- The Client must tell us promptly about any suspected unauthorised access to its account.
- The Client should remove access for users who no longer need it.
5. Connecting business assets
The Lumier can connect to certain business assets, such as a WhatsApp Business account, only after the Client explicitly authorises the connection through Meta’s approved onboarding flow or another supported authorisation process.
By connecting a business asset, you confirm that:
- the business asset belongs to, or is lawfully controlled by, the Client;
- you have the authority to connect it to The Lumier on the Client’s behalf; and
- the Client authorises ORLECA LTD to access and process information from that asset as needed to provide the Service.
The Client may revoke access at any time through the relevant platform settings or by contacting us. Some features will stop working once access is revoked.
6. Meta, WhatsApp and other platforms
Some features depend on third-party platforms, including Meta and WhatsApp. The Client’s use of those platforms is also governed by their own terms and policies, which may include the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy and Meta’s applicable platform and commerce policies.
- The Client is responsible for complying with all third-party platform terms and policies that apply to its account and messaging.
- ORLECA LTD does not control third-party platforms and is not responsible for their availability, pricing, policy changes, or any restriction or suspension they apply to a Client’s account.
- If a third-party platform changes or withdraws functionality, we may need to change or remove related features of The Lumier.
7. Lawful messaging
The Client is responsible for the messages it sends using the Service. The Client must:
- only message people who have given any permission or opt-in required by law or platform policy;
- comply with applicable law, including UK data protection law and the Privacy and Electronic Communications Regulations where relevant;
- honour requests from people who ask not to be contacted;
- ensure message content is accurate, lawful and consistent with the Client’s professional and advertising obligations.
The Service must not be used to send spam, unsolicited bulk messages, or deceptive, harassing or unlawful communications.
8. No medical advice
The Lumier is software. It is not a dental clinic, healthcare provider, medical device or medical-advice service.
- The Service assists with operational and communication workflows. It does not diagnose patients, prescribe treatment or replace the professional judgement of qualified healthcare providers.
- The Client and its qualified healthcare professionals remain solely responsible for clinical care, treatment decisions, patient advice and compliance with their professional and regulatory obligations.
- Summaries, qualification information, suggested replies and other automated outputs may be incomplete or inaccurate. The Client must review them appropriately before relying on them or sending them to patients.
- The Service is not designed for emergencies. Clients should not rely on it to identify or respond to urgent clinical situations.
9. Client data and data protection
As between the Client and ORLECA LTD, the Client retains its rights in the information it and its users submit to, or connect with, the Service (“Client Data”). The Client grants ORLECA LTD permission to host, process and use Client Data only as needed to provide, secure and support the Service and to comply with law.
For patient and customer information in Client Data, the Client is normally the controller and ORLECA LTD acts as processor on the Client’s instructions. The Client is responsible for having a lawful basis to use that information, for providing appropriate privacy information to patients and customers, and for responding to their requests. Where required, the parties will agree data processing terms.
ORLECA LTD does not sell Client Data. Our Privacy Policy explains how we handle personal data, and our Data Deletion page explains how to request deletion.
10. Acceptable use
You must not, and must not allow others to:
- use the Service for any unlawful, fraudulent or harmful purpose;
- connect business assets or process information you are not authorised to use;
- upload or send malicious code, or content that is unlawful, infringing, abusive or misleading;
- attempt to gain unauthorised access to the Service, other accounts or related systems;
- interfere with or disrupt the integrity, security or performance of the Service;
- probe, scan or test the vulnerability of the Service without our written permission;
- copy, modify, reverse engineer or create derivative works of the Service, except where the law does not allow this to be restricted;
- resell, sublicense or provide the Service to third parties without our agreement;
- use the Service to build a competing product, or to scrape or harvest data;
- use the Service in a way that breaches Meta, WhatsApp or other applicable platform terms and policies.
11. Intellectual property
ORLECA LTD and its licensors own all intellectual property rights in the Service, including the software, design, website content and The Lumier name and branding. Subject to these terms, the Client receives a limited, non-exclusive, non-transferable right to use the Service for its internal business purposes during its period of authorised access.
If you provide feedback or suggestions, we may use them to improve the Service without any obligation to you.
12. Fees
Any fees for The Lumier will be agreed with the Client separately in writing. Fees charged by third-party platforms, such as WhatsApp conversation or messaging charges, are the Client’s responsibility unless agreed otherwise in writing.
13. Availability and changes
We aim to keep the Service available and working well, but during the private beta we do not guarantee any particular level of availability. We may carry out maintenance, make changes to the Service, or temporarily restrict access where needed for technical, security or legal reasons. Where practicable, we will give Clients reasonable notice of changes that materially affect them.
14. Suspension and termination
We may suspend or restrict access to all or part of the Service, where reasonably necessary, if:
- we reasonably believe the Service is being misused or used in breach of these terms;
- there is a security risk to the Service, our Clients or their patients;
- a third-party platform requires us to do so, or restricts the Client’s account; or
- we are required to do so by law.
Where appropriate, we will tell the Client the reason and work with it to resolve the issue. Either party may end the Client’s use of the Service by giving notice, subject to any separate written agreement. After access ends, we will handle Client Data in line with our agreement with the Client, our Privacy Policy and applicable law.
15. Disclaimers
Because The Lumier is in private beta, the Service is provided on an “as available” basis. To the extent permitted by law, we do not give any warranty that the Service will be uninterrupted, error-free or suitable for a particular purpose, or that automated outputs will be accurate or complete. Nothing in these terms excludes any rights that cannot be excluded by law.
16. Limitation of liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
Subject to that:
- ORLECA LTD is not liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill or anticipated savings, arising in connection with the Service;
- ORLECA LTD is not responsible for loss caused by third-party platforms, by the Client’s messaging, content or clinical decisions, or by a Client’s breach of these terms; and
- ORLECA LTD’s total liability arising out of or in connection with the Service in any 12-month period is limited to the greater of (a) the fees paid by the Client for the Service in that period and (b) £500.
17. Changes to these terms
We may update these terms from time to time. The updated version will be published on this page with a revised effective date. Where changes are material, we will take reasonable steps to notify Clients. Continued use of the Service after changes take effect means the updated terms apply.
18. General
- If any part of these terms is found to be unenforceable, the rest will remain in effect.
- A delay in enforcing any right does not waive that right.
- The Client may not transfer its rights under these terms without our written consent. We may transfer our rights and obligations to another organisation as part of a reorganisation or sale of our business.
- No one other than the Client and ORLECA LTD has any right to enforce these terms.
- Neither party is responsible for delays or failures caused by events outside its reasonable control.
19. Governing law
These terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
